CERTIFICATE OF AMENDMENT OF THE CERTIFICATE OF INCORPORATION OF
 

IJAW FOUNDATION

Under Section 803 of the Not-for-Profit Corporation Law

FIRST: The name of the corporation is: IJAW FOUNDATION

SECOND: The date of filing of the certificate of incorporation with the Department of State is: August 25, 2003. This is the second certificate of amendment. The date of filing of the first certificate of amendment is: October 14, 2005.

THIRD: The law the corporation was formed under is: Section 402 of the Not-for-Profit Corporation Law.

FOURTH: The corporation is a corporation as defined in Section 102 (a) (5) of the Not-for-Profit Corporation Law. The corporation is a Type B corporation.

FIFTH: The amendment effected by this certificate of amendment is as follows:

Paragraph THIRD of the Certificate of Incorporation relating to the purposes for which Ijaw Foundation is organized is hereby amended to read in its entirety as follows:

THIRD: The purposes for which Ijaw Foundation is organized are:

  A. Exclusively religious, charitable, scientific, literary, and educational within the meaning of section 501 (c) (3) of the Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue Law.

  B. To promote the educational progress and wellbeing of the Ijaw people in the United States and elsewhere.

 C. To provide relief for poor, distressed and underprivileged people in Ijawland and elsewhere.

  D. To promote the social welfare of the Ijaw people in the United States and elsewhere.

Disclaimer: Nothing herein shall authorize the corporation to establish or maintain a library, museum or historical society, or to own or hold collections.

Paragraph NINTH of the Certificate of Incorporation relating to the scope of the  activities to be carried on by Ijaw Foundation is hereby amended to read in its entirety as follows:

NINTH:  No part of the net earnings of the corporation shall inure to the benefit of, or be distributed to its members, trustees, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of its exempt purposes. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, this organization shall not carry on any activities not permitted to be carried on (a) by an organization exempt from Federal income tax under section 501 (c) (3) of the Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue Law or (b) by a corporation, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or the corresponding section of any future federal tax code. 

 
Paragraph TWELFTH of the Certificate of Incorporation relating to the transfer of the residual assets of the corporation, in event of its dissolution, is hereby amended to read in its entirety as follows:

TWELFTH: In the event of dissolution, the residual assets of the organization will be turned over to one or more organizations which themselves are exempt organizations described in sections 501 (c) (3) and 170 (c) (2) of the Internal Revenue Code of 1986 or the corresponding sections of any prior or future Internal Revenue Code, or to the Federal government, State or local government for exclusive public purpose.

SIXTH: The Secretary of State is designated as agent of the corporation upon whom process against it may be served. The address within or without this state to which the Secretary of State shall mail a copy of any process accepted on behalf of the corporation is:

The undersigned, a natural person of the age of eighteen years or over acting as the incorporator of a corporation pursuant 
to the New York   State Not-for-Profit Corporation Law, hereby adopts the following certificate for this corporation:
FIRST: The name of the corporation is: IJAW FOUNDATION
SECOND: The corporation is a corporation as defined in subparagraph (a) (5) of Section 102 (Definitions) of the 
Not-for-Profit Corporation Law.
THIRD: The purposes for which Ijaw Foundation is organized are:
  A. Exclusively religious, charitable, scientific, literary, and educational within the meaning of section 501 (c) (3) of the 
Internal Revenue Code of 1986 or the corresponding provision of any future United States Internal Revenue Law. 
  B. To enhance and promote the educational awareness and wellbeing of the Ijaw people in the United States and 
elsewhere. 
  C. To project and promote the cultural heritage of the Ijaw people.
  D. To promote the social welfare and positive image of the Ijaw people in the United States and elsewhere.
FOURTH: The Corporation shall be a Type B corporation pursuant to Section 201 of the Not-for-Profit Corporation Law.
